Confidentiality Undertaking
By submitting the form above, you acknowledge and agree to the following terms with RTO Broker. Your signature will be placed on the NDA document and a signed copy will be sent to your email.
1. Purpose of Disclosure
RTO Broker may share non-public information about potential opportunities (RTOs, CRICOS providers, related education businesses, and our operations) solely so you can assess whether to pursue an opportunity.
2. Your Confidentiality Obligations
- Keep all Confidential Information strictly private and do not disclose without RTO Broker’s prior written approval.
- Use the information only for evaluation and decision-making relating to the opportunity.
- Do not misuse the information for commercial, competitive, or personal advantage.
- Do not use the information in any way that may harm, disadvantage, or bypass RTO Broker or its clients.
- Limit access only to advisers/financiers/investors who need it and are bound by confidentiality.
- Take reasonable steps to protect and secure all Confidential Information (written, electronic, verbal).
3. Return or Destruction of Information
If requested by RTO Broker, or if discussions do not proceed, promptly return or permanently delete all Confidential Information, including copies, notes, summaries, or derived records.
4. Continuing Effect
- No transaction proceeds
- An opportunity is declined
- Discussions are discontinued
5. Information Not Covered
- Already lawfully known to you before disclosure
- Publicly available through no fault of your own
- Lawfully obtained from a third party without confidentiality restrictions
6. Non-Circumvention
You will not directly or indirectly contact, negotiate with, or engage any vendor, owner, or staff of a business introduced by RTO Broker without RTO Broker’s prior written consent. This applies to your associates, related entities, or representatives.
7. Governing Law
This undertaking is governed by the laws of the Australian state/territory where the relevant RTO has its registered office, and you submit to that jurisdiction.
8. Acceptance
By submitting this form, you confirm you have read, understood, and agreed to this Confidentiality Undertaking and acknowledge your submission is legal acceptance.
